The non-discosure, or confidentiality agreement is specifically used to protect your businesses Intellectual Property (IP). You may have a
new and unique way of doing things, or are developing a new product or service that does not currently exist and the NDA
helps to protect you against someone stealing your idea and going into business for themselves. All product development
and especially high-tech companies use NDA's regularly and they are upheld by almost all states.
If you're thinking about starting up a consulting business and will be working with product development or high-tech
companies, be prepared to have to sign one. Some consultancies use a mutual non-disclosure, especially if there is
something new, unique or in some other way proprietary about how they perform their service.
